By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

By creating an account, accessing our website, or using our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are under 18, you may not use our Services.

3. Account Registration and Security

To access certain features of our Services, you may be required to create an account. When you create an account, you agree to:

- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate your account if we suspect any unauthorized use or security concerns.

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

5. Third-Party Services and Integrations

Our Services may integrate with or provide access to third-party services, applications, or content (including but not limited to Oura Ring API integration). These third-party services are governed by their own terms and conditions and privacy policies.

We are not responsible for the content, accuracy, or practices of any third-party services. Your use of third-party services is at your own risk, and you should review their terms and privacy policies before use. Any integration you authorize (such as connecting your Oura Ring account) is voluntary and can be disconnected at any time.

6. Intellectual Property Rights

Our Content:

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and design, are owned by Scalable Storytelling or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Content:

You retain ownership of any content you submit, post, or display through our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and distribute your User Content in connection with providing and improving our Services.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate any third-party rights or applicable laws.

7. Payment and Subscriptions

Certain features of our Services may require payment. By purchasing a subscription or service, you agree to pay all applicable fees and charges.

Billing:

- All fees are in U.S. dollars unless otherwise stated
- Subscription fees are billed in advance on a recurring basis
- You authorize us to charge your payment method for all fees incurred
- All sales are final unless otherwise required by law

Cancellation and Refunds:

You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of your current billing period. We do not provide refunds for partial subscription periods unless required by law.

8. Disclaimers and Limitations of Liability

Disclaimer of Warranties:

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Health Data Disclaimer:

ANY HEALTH OR WELLNESS INSIGHTS PROVIDED THROUGH OUR SERVICES, INCLUDING THOSE DERIVED FROM OURA RING DATA, ARE FOR INFORMATIONAL PURPOSES ONLY AND ARE NOT INTENDED AS MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS CONSULT A QUALIFIED HEALTHCARE PROFESSIONAL FOR MEDICAL CONCERNS.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALABLE STORYTELLING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY INTERRUPTION OR CESSATION OF THE SERVICES; OR (D) ANY THIRD-PARTY CONTENT OR CONDUCT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Scalable Storytelling and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your User Content.

10. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Extended periods of inactivity
- Requests by law enforcement or government agencies

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, indemnification, and limitations of liability.

11. Dispute Resolution and Arbitration

Informal Resolution:

If you have any dispute with us, you agree to first contact us at ops@scalablestorytelling.com and attempt to resolve the dispute informally for at least 30 days before initiating any legal proceedings.

Binding Arbitration:

Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place in Dahlonega, Georgia, unless otherwise agreed. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.

Class Action Waiver:

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Lumpkin County, Georgia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using our Services.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Scalable Storytelling regarding your use of the Services and supersede all prior agreements and understandings.
